We refer to the announcements made on 18 and 31 January 2024 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, Mercury Securities wishes to announce that Bursa Securities had, vide its letter dated 14 March 2024, resolved to approve the following:

1. the Proposed Share Consolidation; and
2. the listing and quotation of up to 306,690,544 new Sentoria Shares (“Conversion Shares”) to be issued pursuant to the Proposed RCB.

The approval by Bursa Securities is subject to the following conditions:

1. Sentoria and Mercury Securities to ensure there are no circumstances or facts which have the effect of preventing or prohibiting the implementation of the Proposals including any order, injunction or any other directive by any court of law;
2. Sentoria and Mercury Securities must fully comply with the relevant provisions under the Main Market Listing Requirements (“Listing Requirements”) pertaining to the implementation of the Proposals;
3. Sentoria / Mercury Securities to furnish Bursa Securities with the certified true copy of the resolutions passed by the shareholders at extraordinary general meeting approving the Proposals;
4. Sentoria and Mercury Securities to inform Bursa Securities upon completion of the Proposals;
5. Sentoria and Mercury Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed; and
6. Mercury Securities is required to make the relevant announcements relating to the Proposed Share Consolidation pursuant to Paragraphs 6.56(2)(ii) and (iii) and Paragraph 13.20(2) of the Listing Requirements.
